1. Description of Services

ToolCrate provides AI-powered, conversion-focused web design and development services through usetoolcrate.com (the “Services”). ToolCrate is operated by Alexander Schottky.

We may update, improve, or change the Services over time (for example, features, tooling, deliverables, or supported platforms). We’ll do our best to keep the Site accurate, but the specific deliverables and timelines are governed by what you purchase and what we confirm in writing.

2. Fees, Payment, Subscription Billing & Cancellation

Pricing (unless we agree otherwise in writing):

Payment processing and authorization. When you purchase a paid Service, you authorize ToolCrate (and our payment processors, including Stripe) to charge your selected payment method for the applicable fees, taxes, and any other charges you agree to.

Subscription billing. Monthly fees are billed in advance on a recurring basis (typically every 30 days) until you cancel. Your billing date may vary slightly due to month length, payment processor rules, or if you upgrade/downgrade.

Late/failed payments. If your payment method fails, we may retry the charge and/or suspend Services (including taking a hosted website offline) until payment is received. You’re responsible for keeping billing details current.

Cancellation. You can cancel your monthly subscription at any time by contacting us or using any self-serve option we provide. Unless stated otherwise, cancellation takes effect at the end of your current paid billing period. We don’t prorate or refund partial months.

Setup fees. Setup fees (Full Build setup and Conversion OS setup) are one-time charges and are not recurring.

No refunds. Because we begin work quickly and provide digital services, all fees are non-refundable except where required by law or where we explicitly agree otherwise in writing.

Taxes. You are responsible for any applicable taxes, duties, or similar governmental assessments related to your purchase, except for taxes based on ToolCrate’s income.

3. Intellectual Property (Your Content vs. Our Platform)

Your content. As between you and ToolCrate, you own (or control) your pre-existing materials, including your brand assets, logos, trademarks, copy, images, and any other content you provide to us (“Client Content”). You grant ToolCrate a non-exclusive, worldwide, royalty-free license to use Client Content solely to provide and improve the Services (including generating previews, building your site, hosting your site, and showcasing your site as described below).

Our platform, tools, and methods. ToolCrate owns the Site, our software, our AI workflows, templates, systems, internal processes, and any underlying technology used to create deliverables (the “ToolCrate Platform”). Nothing in these Terms transfers ownership of the ToolCrate Platform to you.

Deliverables and what you get.

Third-party materials. Your site may include third-party components (fonts, plugins, libraries, stock assets, or integrations). Those items are governed by their own licenses, and you agree to comply with them. If you request specific third-party assets, you’re responsible for any related costs unless we agree otherwise.

Portfolio. Unless you tell us in writing not to, you give us permission to display your name/logo and screenshots/links of the Work Product in our portfolio, case studies, and marketing. We’ll keep it reasonable and professional.

4. Accounts, Email Collection, and Acceptable Use

Account and communications. To use certain features (including receiving your Free Preview or managing a subscription), you may need to provide contact information such as your name and email address. You agree that:

5. Disclaimer of Warranties

7. Term, Termination, and What Happens to Your Website

Term. These Terms apply from the moment you access the Site or use the Services and continue until terminated.

Termination by you. You may cancel a monthly subscription (Full Build or Conversion OS) at any time. Cancellation generally takes effect at the end of the then-current billing period (see Section 2). To avoid being charged for the next period, cancel before your renewal date.

Termination/suspension by ToolCrate. We may suspend or terminate your access to the Site or Services (in whole or part) if:

Effect of termination and hosting. If your subscription ends, your hosting and ongoing updates may end, and your website may be taken offline. If you want to migrate away, contact us ahead of time—migration/export help (if available) may require additional fees and your account must be in good standing.

Survival. Sections that should reasonably survive termination will survive, including Sections 3 (Intellectual Property), 5 (Disclaimer), 6 (Limitation of Liability), 8 (Governing Law / Disputes), and any payment obligations owed.

8. Dispute Resolution & Governing Law (US-Based)

Talk to us first. If something goes wrong, please reach out and we’ll try to solve it quickly and reasonably.

Governing law. These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law rules.

Venue/jurisdiction. Unless otherwise required by applicable law, any dispute, claim, or legal action arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to that jurisdiction and venue.

Time limit on claims. To the extent permitted by law, any claim must be brought within one (1) year after the claim arises, or it is permanently barred.

9. Modifications

ToolCrate reserves the right to modify these Terms at any time. We will notify users of any significant changes by posting the new Terms on this Site. Your continued use of the services after such changes constitutes your acceptance of the new Terms.
